1. Acceptance of These Terms

By accessing or using this website (“the Site”), you agree to be bound by these Terms of Service (“Terms”) and all applicable laws. If you do not agree, please do not use the Site. These Terms govern your use of the Site only. Professional services we provide are governed by a separate written services agreement (the “Services Agreement”) which controls in the event of any conflict with these Terms.

2. Who These Terms Are Between

These Terms are an agreement between you and Hayashi Technology Solutions (“HTS,” “we,” “us,” “our”), located at 2821 Isle St, Rocklin, CA 95765, USA.

3. Permitted Use of the Site

You may use the Site for lawful, personal, and legitimate business purposes. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
• Attempt to gain unauthorized access to the Site, server, database, network, or any system or account connected to the Site
• Probe, scan, or test the vulnerability of the Site or breach security or authentication measures
• Submit false, misleading, or fraudulent information through any form
• Use any automated system (robot, scraper, spider) to access the Site in a manner that sends more requests than a human can reasonably produce, or that interferes with normal operation
• Transmit any virus, worm, trojan, ransomware, or other malicious code
• Frame, mirror, or otherwise reproduce the Site in a manner that misrepresents its source
• Infringe the intellectual property, privacy, or other rights of HTS or any third party

We may modify, suspend, or discontinue any part of the Site at any time, with or without notice.

4. Informational Purpose Only

Content on the Site—including pages describing Managed IT, VoIP, Infrastructure, Cybersecurity, Cloud Services, AI Services, CMMC Readiness, and any downloadable materials—is provided for general informational purposes only. It does not constitute professional, legal, security, compliance, or financial advice, and should not be relied on as a substitute for engaging qualified professionals on your specific facts. Any engagement for services is defined and governed by a separate written Services Agreement.

5. No Attorney-Client, Fiduciary, or Consultant-Client Relationship

Visiting the Site, submitting a form, downloading a document, or otherwise interacting with the Site does not create a consultant-client, attorney-client, fiduciary, or other professional relationship between you and HTS. A professional relationship is formed only by mutual execution of a written Services Agreement.

6. Intellectual Property

The Site and all of its content—text, graphics, logos, photographs, illustrations, layouts, source code, the Hayashi kanji logo (林), trademarks, and the selection and arrangement of any of the foregoing—are owned by or licensed to HTS and are protected by United States and international copyright, trademark, and other intellectual-property laws.

You may view and print individual pages of the Site for your personal, internal business reference. Any other use—including reproduction, distribution, public display, modification, framing, scraping, or creation of derivative works—requires our prior written permission. “Hayashi Technology Solutions” and the kanji 林 logo are trademarks of HTS.

7. Feedback and Submissions

Any unsolicited ideas, suggestions, feedback, or other materials you submit to us through the Site or via email are non-confidential, and you grant HTS a royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, and distribute them for any purpose without compensation or attribution to you. Do not send us anything you consider confidential or proprietary unless we have a separate written agreement that says otherwise.

8. Third-Party Links and Services

The Site may contain links to third-party websites and services that are not owned or controlled by HTS. We do not endorse and are not responsible for the content, products, services, policies, or practices of any third party. Your interactions with third parties are solely between you and that third party.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

HTS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN THOSE JURISDICTIONS, SOME OF THE FOREGOING EXCLUSIONS MAY NOT APPLY TO YOU.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HTS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES—INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL—ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF HTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HTS’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless HTS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your use of the Site, including any use that is unlawful or that infringes the rights of any third party.

12. Privacy

Our handling of information collected through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.

13. Copyright Infringement (DMCA)

If you believe in good faith that material on the Site infringes your copyright, please send a written notice to our designated agent at info@hts-i.com that contains: (i) your physical or electronic signature; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material to be removed and information sufficient to locate it; (iv) your contact information; (v) a statement that you have a good-faith belief that the use is not authorized; and (vi) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

14. Governing Law and Venue

These Terms and any dispute arising out of or related to them or the Site will be governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that the exclusive jurisdiction and venue for any such dispute lies in the state and federal courts located in Placer County, California, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Material changes will be highlighted on the page for at least 30 days. Your continued use of the Site after a change takes effect constitutes your acceptance of the revised Terms.

16. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

17. Entire Agreement

These Terms, together with the Privacy Policy and any separate written Services Agreement between you and HTS, constitute the entire agreement between you and HTS regarding your use of the Site and supersede any prior or contemporaneous communications regarding the same subject matter.
